Vendor Service Agreement | The Ego – Global Event Booking Platform

This Vendor Service Agreement (“Agreement”) is entered into between Ego Events Media Group (“The Ego”) and the Vendor upon creation of a Vendor account on the platform.

By registering as a Vendor, you expressly agree to the terms below.

1. Definitions

“Platform” — www.egoeventsmediagroup.com
“Vendor” — the provider of event services listed on the Platform
“Client” — the user who books or purchases vendor services
“Booking” — a reservation or purchase made through the Platform
“Membership” — vendor subscription for platform listing and visibility
“Sales Agent” — user who promotes vendor services or memberships

2. Vendor Status as Independent Entity

The Vendor acknowledges and agrees that:

Vendor acts as an independent service provider
Vendor is not employed by The Ego
Vendor is not subcontracted or managed by The Ego
Vendor provides services in their own name and at their own risk

This Agreement does not create:

employer–employee relationship
partnership
agency or representation
joint venture or franchise

3. Vendor Responsibilities

Vendor agrees to:

provide accurate service descriptions
maintain real pricing
keep availability calendar updated
respond to client messages in reasonable time
fulfill booked services on agreed terms
maintain professional conduct
comply with legal requirements and local regulations
honor cancellation & refund terms set in listing

Vendor agrees that all communication and agreements with Clients are binding between Vendor and Client.

4. Vendor Content

Vendor is responsible for:

images uploaded
descriptions
pricing
service claims
availability
legal rights to media used (copyright)

Vendor confirms that all media and descriptions are truthful and not misleading.

5. Pricing & Billing

Vendor sets their own pricing.
Vendor is responsible for:

invoicing Client
applying taxes appropriately
any VAT or fiscal obligations
issuing receipts or tax invoices

The Ego does not issue invoices on Vendor’s behalf.

6. Payment Processing

Payment for bookings may be processed via WooCommerce or integrated payment gateways.

The Ego processes payment as technical intermediary, and Vendor is the ultimate beneficiary of the funds.

Funds received for bookings are Vendor’s property.

7. Booking Models

Vendor may choose:

Instant Booking
Automatic confirmation upon payment.

Approval-Based Booking
Booking must be confirmed manually by Vendor.

Vendor is solely responsible for maintaining accurate availability and confirming or rejecting bookings in timely manner.

8. Refunds & Cancellations

Vendor must clearly state refund/cancellation terms.
Vendor is solely responsible for:

honoring their stated policy
communicating with Client
issuing refunds if applicable

The Ego does not issue refunds for Vendor services.

9. Client Data & GDPR Requirements

Vendor acknowledges receiving Client personal data for service execution.
Vendor must:

protect data
not share it externally
not use it for unrelated marketing
delete data upon request
comply with GDPR and privacy regulations

Vendor acts as an independent data controller for Client data.

10. Reviews and Ratings

Vendor accepts that Clients may leave reviews.

Vendor may not:

pressure for positive reviews
incentivize reviews
threaten clients
post fake reviews
manipulate ratings

11. Code of Conduct

Vendor agrees not to:

misrepresent services
mislead clients
harass or abuse clients
use hate speech or discriminatory language
act unprofessionally
damage platform integrity
attempt to move all sales outside the Platform to avoid usage
(unless mutually agreed separately by Vendor and Client)

12. Suspension or Termination

The Ego may suspend or terminate Vendor access in case of:

fraud or illegal activity
repeated client complaints
breach of Agreement
abusive behavior
violation of policies
copyright infringement
inappropriate content
non-compliance with GDPR

Termination does not entitle Vendor to refund of membership fees.

13. Liability Disclaimer

Vendor acknowledges that:

The Ego is not responsible for Vendor performance
The Ego is not liable for claims made against Vendor
Vendor bears full responsibility for service delivery
Vendor indemnifies The Ego against client claims relating to Vendor service
